Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except as set forth on Schedule 5.15, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller in connection with the transactions contemplated by this Agreement and Purchaser is not or will not become obligated to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliates.

Financial Advisors. Except as set forth on Schedule 5.154.17, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller in connection with the transactions contemplated by this Agreement and neither Purchaser nor any Transfer Group Company is not or will not become obligated to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement arrangements made by or on behalf of Seller or any Affiliate of its AffiliatesSeller.

Financial Advisors. Except as set forth on Schedule 5.153.30, no Person has acted, acted directly or indirectly, indirectly as a broker, finder or financial advisor for the Seller or the Company in connection with the negotiations relating to or the transactions contemplated by this Agreement and Purchaser no Person is not or will not become obligated entitled to pay any fee or commission or like payment to in respect thereof based in any brokerway on agreements, finder arrangements or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement understandings made by or on behalf of the Seller or any of its Affiliatesthe Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30.

Financial Advisors. Except as set forth on Schedule 5.154.24, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller Sellers in connection with the transactions contemplated by this Agreement and Purchaser no Person is not or will not become obligated entitled to pay any fee or commission or like payment to in respect thereof. Sellers shall be responsible for the fees or commissions of any broker, finder Person listed on Schedule 4.24. There are no Transaction Fees for which any Company or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its AffiliatesSubsidiary is liable.

Financial Advisors. Except as set forth on Schedule 5.153.20, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller Seller, the Company or their Affiliates in connection with the transactions contemplated by this Agreement and Purchaser no Person is not or will not become obligated entitled to pay any fee or commission or like payment to any brokerfrom Seller, finder the Company or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatestheir Affiliates in respect thereof.

Financial Advisors. Except as set forth on in Schedule 5.153.20, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Seller Group in connection with the transactions contemplated by this Agreement and Purchaser no Person is not or will not become obligated be entitled to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatesin respect thereof.

Financial Advisors. Except as set forth on in Schedule 5.153.5, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Selling Group in connection with the transactions contemplated by this Agreement Agreement, and Purchaser no Person engaged by the Selling Group is not or will not become obligated be entitled to pay any broker’s, finder’s or similar fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatesin respect thereof.

Financial Advisors. Except as set forth on Schedule 5.154.21, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller Seller, the Company or its Subsidiary in connection with the transactions contemplated by this Agreement and Purchaser no Person is not or will not become obligated be entitled to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatesin respect thereof.

Financial Advisors. Except as set forth on Schedule 5.154.20, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or its Affiliates in connection with the transactions contemplated by this Agreement and Agreement. Neither Purchaser nor any Transfer Group Company or Northern Border Company is not or will not become obligated to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliates.

Financial Advisors. Except as set forth on Schedule 5.15, no No Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller Sellers or the Included Subsidiaries in connection with the transactions contemplated by this Agreement and Purchaser Agreement. No Person listed in Section 4.10 of Sellers’ Disclosure Schedule is not or will not become obligated entitled to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatesfrom Buyer in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.154.4, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or the Companies in connection with the transactions contemplated by this Agreement and Purchaser no Person engaged by Seller is not or will not become obligated entitled to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatesfrom Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.153.20, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller Holders, the Company or their Affiliates in connection with the transactions contemplated by this Agreement and Purchaser no Person is not or will not become obligated entitled to pay any fee or commission or like payment to any brokerfrom Seller Holders, finder the Company or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatestheir Affiliates in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.155.26, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller in connection with the transactions contemplated by this Agreement and Purchaser no Person is not or will not become obligated be entitled to pay any fee or commission or like payment in respect thereof. All fees to persons listed on Schedule 5.26 shall be paid be Seller, and neither Purchaser nor Parent shall have any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon liability for any arrangement made by or on behalf of Seller or any of its Affiliatessuch fee.

Financial Advisors. Except as set forth on Schedule 5.154.28, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Sellers, the Company or any Subsidiary in connection with the transactions contemplated by this Agreement and Purchaser no Person is not or will not become obligated be entitled to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatesin respect thereof for which Buyer could be liable.

Financial Advisors. Except as set forth on Schedule 5.154.4, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or the Company in connection with the transactions contemplated by this Agreement and Purchaser no Person engaged by Seller is not or will not become obligated entitled to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatesfrom Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 5.155.18, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller or the Company in connection with the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from Purchaser is not in respect thereof. The Company has no liability or will not become obligated obligation to pay any a fee or commission or like payment to any Person who has acted directly or indirectly, as a broker, finder or financial advisor as a result of for Seller or the consummation of Company in connection with the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its AffiliatesAgreement.

Financial Advisors. Except as set forth on Schedule 5.154.29, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller the Sellers or the Company in DAL:0506861/00010:1931463v15 connection with the transactions contemplated by this Agreement and Purchaser no Person is not or will not become obligated be entitled to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based upon any arrangement made by or on behalf of Seller or any of its Affiliatesin respect thereof.

Financial Advisors. Except as set forth on Schedule 5.156.6, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for Seller in connection with the transactions contemplated by this Agreement Agreement, and Purchaser no such Person is not or will not become obligated entitled to pay any fee or commission or like payment to any broker, finder or financial advisor as a result of the consummation of in connection with the transactions contemplated by this Agreement based upon any arrangement on arrangements made by or on behalf of Seller or any Affiliate of its AffiliatesSeller. Seller is solely responsible for the fees and expenses of the Person(s) set forth in Schedule 6.6.
