Common use of Financial Covenant Compliance Information Clause in Contracts

Financial Covenant Compliance Information. All annual financial reports pursuant to SECTION 6.4(a)(i) and all quarterly financial reports pursuant to SECTION 6.4(b)(i) will also be accompanied by a compliance certificate signed by the chief financial officer of Borrower. Notwithstanding anything in this Agreement to the contrary, Borrower will be required to timely deliver such financial information as may be necessary to promptly and accurately calculate any financial ratio or covenant required under this Agreement even if such information is not specifically enumerated herein. Any review of any financial statements provided by Borrower used to test any financial ratio or covenant will not waive the Lender's rights to require further review or audit of such information or any rights if such further review or audit indicates financial information contrary to the financial statements provided by Borrower.
