Common use of Financial Statement Restatement Clause in Contracts

Financial Statement Restatement. The restatement of any financial statements filed by the Borrower with the SEC for any date or period from two years prior to the Issue Date of this Note and until this Note is no longer outstanding, if the result of such restatement would, by comparison to the unrestated financial statement, have constituted a material adverse effect on the rights of the Holder with respect to this Note or the Purchase Agreement.

Financial Statement Restatement. The restatement of any financial statements filed by the Borrower with the SEC at any time after 180 days after the Issuance Date for any date or period from two years prior to the Issue Date of this Note and until this Note is no longer outstanding, if the result of such restatement would, by comparison to the unrestated un-restated financial statement, have constituted a material adverse effect on the rights of the Holder with respect to this Note or the Purchase Agreement.

Financial Statement Restatement. The restatement of any financial statements filed by the Borrower with the SEC Securities and Exchange Commission for any date or period from two years prior to the Issue Date of this Note and until this Note is no longer outstanding, if the result of such restatement would, by comparison to the unrestated financial statementstatements, have constituted a material adverse effect on the rights of the Holder with respect to this Note or the Purchase AgreementMaterial Adverse Effect.

The restatement of any financial statements filed by the Borrower Company with the SEC for any date or period from two years prior to the Issue Date date of this Note and until this Note is no longer outstanding, if the result of such restatement would, by comparison to the unrestated financial statement, have constituted a material adverse effect on the rights of the Holder Company with respect to this Note or the Purchase Agreement.

Financial Statement Restatement. The restatement of any financial statements filed by the Borrower Maker with the SEC Securities and Exchange Commission for any date or period from two years prior to the Issue Date of this Note and until this Note is no longer outstanding, if the result of such restatement would, by comparison to the unrestated financial statement, have constituted a material adverse effect on the rights of the Holder with respect to this Note Note, the Exchange Agreement or the Purchase Security Agreement.

Financial Statement Restatement. The restatement of any financial statements filed by the Borrower with the SEC Securities and Exchange Commission for any date or period from two years prior to the Issue Date of this Note and until this Note is no longer outstanding, if the result of such restatement would, by comparison to the unrestated financial statement, have constituted a material adverse effect on the rights of the Holder with respect to this Note Note, the Purchase Agreements or the Purchase Waiver Agreement.
