Neither the Company nor any of its officers or directors has employed any broker, finder or financial advisor or otherwise incurred any liability for any brokerage fees, commissions, or financial advisors' or finders' fees in connection with the transactions contemplated hereby, other than pursuant to an agreement with Xxxxxxxxx, Xxxxxx & Xxxxxxxx Securities Corporation, the terms of which are as set forth in Section 2.10 of the Company Disclosure Letter.
