FIRST AMENDMENT AND PAYMENT AGREEMENT. Prior to execution of this Agreement, the Agency has executed the First Amendment and the Payment Agreement. As of the date hereof, (i) the Agency represents and warrants that it is in compliance with the terms of the Original OPA, as amended by the First Amendment (collectively, the “Amended OPA”), and the Payment Agreement; and (ii) the Owner represents and warrants that it is not aware of any event or circumstance that causes the Agency to be in breach of any of its obligations under the Amended OPA or the Payment Agreeement.
