Common use of First Year Pricing Clause in Contracts

First Year Pricing. The Price for the first Year will be listed in Schedules B and C in a Product Agreement and will be subject to the adjustments set forth in Sections 4.2 and 4.3, The Price may also be increased or decreased by Patheon at any time upon written notice to Client if the underlying manufacturing, packaging or testing assumptions set forth in Schedule B of the Product Agreement change that result in an increase or decrease in the cost of performing the Manufacturing Services. The parties will negotiate in good faith to conclude agreement on the Price which fairly reflects the increased or decreased costs.
