Common use of Fitmedia Documents Clause in Contracts

Fitmedia Documents. Fitmedia has delivered to the Purchaser copies of the following documents, which are collectively referred to as the "Fitmedia Documents" and which consist of the following dated as of the date of execution of this Agreement, all certified by a duly authorized officer of Fitmedia as complete, true, and accurate: (a) A copy of the Articles of Incorporation and Bylaws of Fitmedia in effect as of the date of this Agreement; (b) A copy of resolutions adopted by the board of directors of Fitmedia approving this Agreement and the transactions herein contemplated; (c) A document setting forth a description of any material adverse change, if any, in the business, operations, property, inventory, assets, or condition of Fitmedia since the most recent Fitmedia balance sheet required to be provided pursuant to Section 2.04 hereof, updated to the Closing Date;
