If no record date is fixed: (1) the record date for determining stockholders entitled to notice of or to vote at a meeting of stockholders shall be at the close of business on the day next preceding before the day on which notice is given, or, if notice is waived, at the close of business on the day next preceding before the day on which the meeting is held; and (2) the record date for determining stockholders entitled to express consent to corporate action in writing without a meeting, when no prior action by the Board is necessary, shall be the day on which the first written consent is expressed; and (3) the record date for determining stockholders for any other purpose shall be at the close of business on the day on which the Board adopts the resolution relating thereto. A determination of stockholders of record entitled to notice of or to vote at a meeting of stockholders shall apply to any adjournment of the such meeting; provided, however, that the Board may fix a new record date for the adjourned meeting.. When a record date is so fixed, only shareholders of record at the close of business on that date are entitled to notice of and to vote at the meeting or to receive the dividend, distribution, or allotment of rights, or to exercise the rights, as the case may be, notwithstanding any transfer of any shares on the books of the Corporation after the record date. Fixing Date for Determination of Stockholders of Record. In The ------------------------------------------------------- Board may fix a record date, which record date shall not precede the date upon which the resolution fixing the record date is adopted by the Board, in order that the Corporation may determine the which stockholders are entitled to (i) notice of or to vote at any meeting of stockholders or any adjournment thereof, or to express consent to corporate action in writing without a meeting, or entitled to (ii) receive payment of any dividend or other distribution or allotment of any rightsdividend, or entitled to exercise any rights in respect of any change, conversion or exchange of stock or (iii) notice for the purpose of any other lawful action, the Board of Directors may fix, in advance, a purpose. Such record date, which date shall be not be more than sixty nor (60) days, and in the case of a meeting of stockholders not less than ten days before the date of such meeting, nor more than sixty (10) days prior to any other actionthe date on which the particular action requiring such determination is to be taken. Such a meeting of stockholders determination shall apply to any adjournment of the meeting; provided, however, that meeting unless the Board may fix fixes a new record date, which it shall do if the meeting is adjourned to a date more than one hundred thirty (130) days after the date fixed for the adjourned original meeting. If no record date is set for the determination of stockholders entitled to receive payment of any stock dividend or distribution (other than one involving a purchase, redemption, or other acquisition of the corporation's shares) the record date shall be the date the Board authorizes the stock dividend or distribution.
