Common use of Following Termination Clause in Contracts

Following Termination. 11.2.1 the Parties will agree the procedure for administering the Insurance Business current at the time of termination; 11.2.2 the Broker will make all reasonable efforts to provide the Company with contact details for any Insured or other party with whom the Company has contracted in the conduct of Insurance Business where:- 11.2.2.1 the Broker has acted as the agent of the Company; and 11.2.2.2 where such information is reasonably required in order for the Company to carry out its obligations in relation to Insurance Business concluded in accordance with this Agreement. 11.2.3 Where permissible the Parties will remain liable to perform their obligations in accordance with the terms of this Agreement in respect of all Insurance Business subject to this Agreement until all Insurance Business has expired or has otherwise been terminated.

Following Termination. 11.2.1 10.2.1 the Parties will agree the procedure for administering the Insurance Business current at the time of termination; 11.2.2 10.2.2 the Broker will make all reasonable efforts to provide the Company Underwriting Agent with contact details for any Insured or other party with whom the Company Underwriting Agent has contracted in the conduct of Insurance Business where:- 11.2.2.1 10.2.2.1 the Broker has acted as the agent of the CompanyUnderwriting Agent; andor 11.2.2.2 10.2.2.2 where such information is reasonably required in order for the Company Underwriting Agent to carry out its obligations in relation to Insurance Business concluded in accordance with this Agreement. 11.2.3 10.2.3 Where permissible the Parties will remain liable to perform their obligations in accordance with the terms of this Agreement in respect of all Insurance Business subject to this Agreement until all Insurance Business has expired or has otherwise been terminated.

Following Termination. 11.2.1 10.2.1 the Parties will agree the procedure for administering the Insurance Business current at the time of termination; 11.2.2 10.2.2 the Broker will make all reasonable efforts to provide the Company Managing Agent with contact details for any Insured or other party with whom the Company Managing Agent has contracted in the conduct of Insurance Business where:- 11.2.2.1 10.2.2.1 the Broker has acted as the agent of the CompanyManaging Agent; andor 11.2.2.2 10.2.2.2 where such information is reasonably required in order for the Company Managing Agent to carry out its obligations in relation to Insurance Business concluded in accordance with this Agreement. 11.2.3 10.2.3 Where permissible the Parties will remain liable to perform their obligations in accordance with the terms of this Agreement in respect of all Insurance Business subject to this Agreement until all Insurance Business has expired or has otherwise been terminated.

Following Termination. 11.2.1 the Parties will agree the procedure for administering the Insurance Business current at the time of termination; 11.2.2 the Broker Intermediary will make all reasonable efforts to provide the Company Coverholder with contact details for any Insured or other party Party with whom the Company Coverholder has contracted in the conduct of Insurance Business where:-where: 11.2.2.1 the Broker Intermediary has acted as the agent of the CompanyCoverholder; and 11.2.2.2 where such information is reasonably required in order for the Company Coverholder to carry out its obligations in relation to Insurance Business concluded in accordance with this Agreement. 11.2.3 Where where permissible the Parties will remain liable to perform their obligations in accordance with the terms of this Agreement in respect of all Insurance Business subject to this Agreement until all Insurance Business has expired or has otherwise been terminated.

Following Termination. 11.2.1 12.2.1 the Parties will agree the procedure for administering the Insurance Business current at the time of termination; 11.2.2 12.2.2 the Broker will make all reasonable efforts to provide the Company Coverholder with contact details for any Insured or other party Party with whom the Company Coverholder has contracted in the conduct of Insurance Business where:- 11.2.2.1 where: • the Broker has acted as the agent of the CompanyCoverholder; and 11.2.2.2 and • where such information is reasonably required in order for the Company Coverholder to carry out its obligations in relation to Insurance Business concluded in accordance with this Agreement. 11.2.3 12.2.3 Where permissible the Parties will remain liable to perform their obligations in accordance with the terms of this Agreement in respect of all Insurance Business subject to this Agreement until all Insurance Business has expired or has otherwise been terminated.

Following Termination. 11.2.1 10.2.1 the Parties will agree the procedure for administering the ongoing Insurance Business current at the time of termination; 11.2.2 10.2.2 the Broker will make all reasonable efforts to provide the Company Insurer with contact details for any Insured or other party person with whom the Company Insurer has contracted in the conduct of Insurance Business where:-where: 11.2.2.1 10.2.2.1 the Broker has acted as the agent of the CompanyInsurer; and 11.2.2.2 10.2.2.2 where such information is reasonably required in order for the Company Insurer to carry out its obligations in relation to Insurance Business concluded in accordance with this Agreement. 11.2.3 10.2.3 Where permissible the Parties will remain liable to perform their obligations in accordance with the terms of this Agreement in respect of all Insurance Business subject to this Agreement until all Insurance Business has expired or has otherwise been terminated.
