Common use of Form and Content of Communications Clause in Contracts

Form and Content of Communications. The names of any person authorized to acton behalf of the Company or the Committee shall be certified, with the specimen signature of suchperson, in a Certificate delivered to the Trustee by the Company and the Committee, as applicable. Until appropriate written evidence to the contrary is received by the Trustee, it shall be fully protected in relying upon or acting in accordance with any Certificate or other written notice, instruction, direction, certificate, resolution, or other communication believed by it to be genuine and to be signed and/or certified by any proper person, and the Trustee shall be under no duty to make any investigation or inquiry as to the truth or accuracy of any statement contained therein. Until notified in writing to the contrary, the Trustee shall have the right to assume that there has been no change in the identity or authority of any person previously certified to it hereunder.
