Form, Currency and Denominations. The Notes shall be issued in fully registered form, without coupons, in denominations of $1,000 and integral multiples of $1,000. The Notes will be issued in substantially the form set forth in Exhibit A hereto, which shall include the Private Placement Legend only for so long as, and to the extent that, the Notes constitute Restricted Securities. The Depository with respect to the Notes shall be The Depository Trust Company, New York, New York.
