Formation and Qualification of the Capital Parties, Xxxxxx, Xxxxxxxxx and Xxxxxxxxx. Each of the Capital Parties, Xxxxxx, Xxxxxxxxx and Alexander has been duly incorporated and is validly existing as a corporation and is in good standing under the laws of its jurisdiction of incorporation and each of the Capital Parties, Xxxxxx, Xxxxxxxxx and Xxxxxxxxx has full corporate power and authority, as applicable, necessary to own, lease and operate the properties it owns, leases or operates and to conduct its business as described in the Registration Statement, the Preliminary Prospectuses, the Prospectus and the Permitted Free Writing Prospectuses. Each of the Capital Parties has full corporate power and authority, as applicable, necessary to enter into, execute, deliver and perform its obligations under the Transaction Documents to which it is a party and to enter into, execute, deliver and perform its obligations under this Agreement. Each of the Capital Parties, Xxxxxx, Xxxxxxxxx and Alexander is duly qualified to transact business and is in good standing as a foreign corporation, as applicable, in each other jurisdiction in which such qualification is required for the conduct of its business, except where the failure to so qualify or to be in good standing would not result in a Material Adverse Effect or subject the Company, Xxxxxx, Xxxxxxxxx or Xxxxxxxxx to any material liability or disability;
