Formation; Filings. Pursuant to the Act and in accordance with the further terms and provisions hereof, the Member and, when signed by the Special Members, the Special Members, hereby continue the Company as a limited liability company. The Certifi cate of Formation of the Company, has been executed and filed with the Secretary of State of the State of Delaware by Xxxxx X.
