Formation; Governance. The Parties shall establish a Joint Oversight Committee (“JOC”), which shall have the same composition and governance structure as the JDC, as set forth in Section 3.2(a), (c), (d), (e), (f) and (g), in each case as applied to the JOC, provided that JOC members from each Party shall include the Chief Executive Officer and other senior executives designated by each party.
