Common use of Forum Selection; Consent to Jurisdiction Clause in Contracts

Forum Selection; Consent to Jurisdiction. All disputes arising out of or in connection with this Agreement (other than matters subject to arbitration pursuant to the terms of this Agreement or the other agreements delivered by the Parties pursuant hereto) shall be solely and exclusively resolved by a court of competent jurisdiction in the State of Oregon. The Parties hereby consent to the jurisdiction of the courts of the State of Oregon and the United States District Court of the District of Oregon and waive any objections or rights as to inconvenient forum, lack of personal jurisdiction or similar grounds with respect to any dispute relating to this Agreement.
