Frustration of Second Closing Conditions. Notwithstanding any provision in this ARTICLE VIII to the contrary, neither the Seller Parent nor the Buyer Parent may rely on the failure of any condition set forth in Sections 8.5, 8.6 or 8.7 to be satisfied if such failure was primarily caused by such Party’s failure to comply with any provision of this Agreement.

The exercise prices of the Warrants issuable on the Second Closing Date shall be adjusted to offset the effect of stock splits, stock dividends, pro rata distributions of property or equity interests to the Company's shareholders after the Initial Closing Date.
