Common use of Full Access and Consultation Clause in Contracts

Full Access and Consultation. The Seller will permit representatives of the Buyers to have full access at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Stations, to all premises, properties, books, records, contracts, Tax records, and documents of or pertaining to the Seller for the purpose of permitting the Buyer to, among other things: (a) conduct its due diligence review, (b) review financial statements of the Seller, (c) verify the accuracy of representations and warranties of the Seller contained in this Agreement, and (d) prepare for the consummation of the transactions contemplated by this Agreement. The Seller will consult with the Buyers' management with a view to informing Buyer's management as to the operations, management and business of the Stations. Without limiting the foregoing, Seller acknowledges and agrees that it will provide the Buyers and their representatives with such access to the properties, books, records, documents and operations of the Seller as contemplated herein in a manner which will permit the Buyers to fully complete their due diligence review within the thirty (30) day period reference in Section 5(a) (ix), below.

The Seller Sellers will consult with the Buyers' management with a view to informing Buyer's management as to the operations, management and business of the Stations. Without limiting the foregoing, Seller acknowledges Sellers acknowledge and agrees agree that it Sellers will provide the Buyers and their representatives with such access to the properties, books, records, documents and operations of the Seller Sellers as contemplated herein in a manner which will permit the Buyers to fully complete their due diligence review within the thirty twenty (3020) day period reference referenced in Section 5(a5(a)(ix) (ix), below.

The Seller will consult with the Buyers' management with a view to informing Buyer's Buyers' management as to the operations, management and business of the StationsStation. Without limiting the foregoing, Seller acknowledges and agrees that it will provide the Buyers and their representatives with such access to the properties, books, records, documents and operations of the Seller with respect to the operation of the Station as contemplated herein in a manner which will permit the Buyers to fully complete their due diligence review within the thirty fourteen (3014) day period reference referenced in Section 5(a) (ix), below.
