Operation of Station. The Seller shall operate the Station in compliance with the FCC Licenses and the rules and regulations of the FCC, and the FCC Licenses shall at all times remain in full force and effect. The Seller shall file with the FCC all material reports, applications, documents, instruments and other information required to be filed in connection with the operation of the Station.
Operation of Station. The Seller will not engage in any practice, take any action, or enter into any transaction outside the Ordinary Course of Business. The Seller shall operate the Station in compliance with the FCC Licenses and the rules and regulations of the FCC, and the FCC Licenses shall at all times remain in full force and effect. The Seller shall file with the FCC all material reports, applications, documents, instruments and other information required to be filed in connection with the operation of the Station.

Operation of Station. Notwithstanding any provision of this Agreement to the contrary, Licensee shall retain full authority and power with respect to the management and operation of the Stations during the term of this Agreement. The parties agree and acknowledge that Licensee's continued control of the Stations and their premises is an essential element of the continuing validity and legality of this Agreement. Accordingly, Licensee shall employ the General Manager of the Stations and such other personnel as Licensee determines may be necessary to fulfill its obligations as a licensee under the Communications Act and its obligations in accordance with Section 3.2
Operation of Station. (a) Notwithstanding anything herein to the contrary, the Permittee shall retain exclusive authority for the construction and operation of the Station, including, without limitation, the right (i) to accept or reject any contract for the provision of goods and services in the construction of the Station, (ii) to accept or reject any programming or advertisements proffered by Manager, (iii) to cancel or preempt any programming proffered by Manager if the broadcast of such program(s) would, in the Permittee's opinion, not be in the public interest, (iv) to substitute for any program proffered by Manager a program deemed by the Permittee to be of greater national, regional or local interest, (v) to require that time sales by Manager to political candidates comply with law and policy regarding access, charges and equal opportunities, and (vi) to take any other action which the Permittee deems necessary for compliance with federal, state and local laws, including the Act and the rules and policies of the FCC. Station personnel shall report and be accountable solely to the Permittee. When they use Permittee's facilities, Manager's personnel shall be under the ultimate direction, control and supervision of the Permittee's general manager.
Operation of Station. Throughout the term of this Agreement, Licensee shall make the Station available to the Broker for operation with the authorized facilities 24 hours a day, seven days a week, except for (i) at least two hours each week on Sunday morning between the hours of 7:00 a.m. and 11:00 a.m. during which Licensee will be responsible for public affairs programming dealing with issues affecting the Station's service area and (ii) downtime occasioned by routine maintenance not to exceed two hours each Sunday morning between the hours of 1:00 a.m. and 5:00 a.m. Any maintenance work affecting the operation of the Station at full power shall be scheduled upon at least 48 hours' prior notice with the agreement of the Broker, such agreement not to be unreasonably withheld. It is further understood and agreed that Licensee shall continue to retain full authority and control over operation of the Station during the course of this Agreement; to be responsible for assessment of the needs and interests of the community; and to determine that the programs presented are responsive to such needs and interests, and that all programming continues to meet all federal, state and local laws, including those that govern political broadcast time, presentation of lottery material, proper sponsor identification, and other programming in the public interest. Broker also agrees that all such programming as presented by Broker will be in full compliance with all such applicable rules and regulations. Licensee shall also continue to be responsible for maintenance of the Station's public file in good order as required by the Commission, including timely placement of a copy of this Agreement in that file; to prepare and timely file in such file the quarterly issues/programs list as required by the Commission's rules; to timely file with the Commission all required reports or other records as required by the Commission; and to otherwise comply in all respects with the Commission rules and regulations, including those rules and regulations regarding requests for political advertising. Broker agrees to cooperate fully in the gathering, compilation and completion of all such reports as may be required by Licensee.
Operation of Station. The Owner agrees that the Station will be operated throughout the Term in all material respects in accordance with the authorizations issued by the FCC and all applicable FCC rules and policies. During the Term, the Owner will make the Station available to the Broker for program transmissions, at least at ninety five percent (95%) of the Station's currently authorized effective radiated power, for the entire time that the Station is on the air, except for downtime occasioned by required maintenance and other interruptions contemplated by Section 12(b) and events described in Section 16. Any routine or non-emergency maintenance work affecting operation of the Station at full power will be scheduled with at least forty-eight (48) hours prior notice to the Broker, and, to the extent possible, will not take place during a rating period; and, to the extent possible, the Owner will cause such maintenance work to be performed between the hours of 1:00 AM and 6:00 AM, local time.
Operation of Station. Notwithstanding anything to the contrary in this Agreement, Licensee will have full authority and power over the operation of the Station during the term of this Agreement. Licensee will be responsible for the payment of the salaries and other compensation (including payroll taxes, etc.) of the Station's General Manager, Engineer, and any other personnel employed by Licensee, all of whom will report and be accountable to the Licensee. The Station's General Manager will direct the day-to-day operation of the Station through the exercise of its sole control over the Studio and the Transmitter Site. Licensee will retain control over the policies, programming and operations of the Station, the right to preempt any programs or advertisements not in the public interest or in order to broadcast a program deemed by Licensee to be of greater national, regional or local importance (subject to payment credit in accordance with Section 3(d) hereof), and the right to take any other actions necessary for compliance with federal, state and local laws, the Act and the rules, regulations and policies of the Commission (including the prohibition on unauthorized transfers of control) and the rules, regulations and policies of other federal government entities, including the Federal Trade Commission and the United States Department of Justice. Licensee will at all times be solely responsible for meeting all of the Commission's requirements with respect to public service programming, for maintaining the Station's logs and political and public inspection files, and for the preparation of issues/programs lists. Licensee will also retain the right to break into Programmer's programming in case of an emergency. Programmer will, upon request by Licensee, provide Licensee with information with respect to such of the Programming as is responsive to public needs and interests so as to assist Licensee in the preparation of required programming reports and will provide upon request such other information necessary to enable Licensee to prepare other records and reports required by the Commission or other local, state or federal government entities. Programmer will cooperate with Licensee to ensure the Station's compliance with the Commission's rules, regulations and statutes, including the political broadcast rules requiring equal opportunities, reasonable access and lowest unit charge.
Operation of Station. Licensee represents that the Station now operates and will continue to operate in accordance with the authorizations issued by the FCC. Throughout the term of this Agreement, Licensee shall make the Station available to the Broker for operation with the maximum authorized facilities twenty-four (24) hours a day, seven (7) days a week, except for: (i) up to ten (10) hours per week for public affairs, news, information and other non-entertainment programming intended to address the needs and interests of the Station's service area; (ii) down-time occasioned by routine maintenance not to exceed two (2) hours each Sunday morning between the hours of 12 Midnight and 6:00 a.m. Any routine maintenance work affecting the operation of the Stations at full power shall be scheduled upon, if practicable, at least forty-eight (48) hours prior notice to Broker; and (iii) STL and phone lines as set forth in Paragraph 1 hereof.

Station personnel shall report and be accountable solely to the Licensee. When they use Licensee's facilities, Manager's personnel shall be under the ultimate direction, control and supervision of the Licensee's general manager. Manager shall provide Licensee with at least seven (7) days notice of the intent to run programming and the anticipated date and time of such broadcast.
