Common use of Full Access and Consultation Clause in Contracts

Full Access and Consultation. The Sellers will permit and will cause the Company to permit representatives of the Buyer to have full access at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Stations, to all premises, properties, books, records, contracts, Tax records, and documents of or pertaining to the Company for the purpose, among other things, to review financial statements of the Company, to verify the accuracy of representations and warranties of the Sellers and the Company contained in this Agreement, and to prepare for the consummation of the transactions contemplated by this Agreement. The Sellers will cause the Company to consult with the Buyer's management with a view to informing the Buyer's management as to the operations, management and business of the Stations.
