Functions, Duties and Powers of Officers. The board may, for each officer: (a) determine the functions and duties the officer is to perform; (b) entrust to and confer on the officer any of the powers exercisable by the directors on such terms and conditions and with such restrictions as the directors think fit; and (c) from time to time revoke, withdraw, alter or vary all or any of the functions, duties and powers of the officer.
