Fund Transfers. Except as amended by this Agreement, electronic fund transfers we permit that are subject to Article 4A of the Uniform Commercial Code will be subject to such provisions of the Uniform Commercial Code as enacted by the state where the main office of the Credit Union is located. We may execute certain requests for an electronic fund transfer by Xxxxxxx. Fedwire transactions are subject to Federal Reserve Board Regulation J. You may order an electronic fund transfer to or from your account. We will debit your account for the amount of the electronic fund transfer and will charge your account for any fees related to the transfer. Unless we agree otherwise in writing, we reserve the right to refuse to execute any order to transfer funds to or from your account. We are not obligated to execute any order to transfer funds out of your account if the amount of the requested transfer plus applicable fees exceeds the available funds in your account. We are not liable for errors, delays, interruptions, or transmission failures caused by third parties or circumstances beyond our control, including mechanical, electronic, or equipment failure. We will not provide you with next day notice of ACH transfers, wire transfers, and other electronic payments credited to your account. You will receive notice of such credits on your account statements. You may contact us to determine whether a payment has been received. If we fail to properly execute a payment order, and such action results in a delay in payment to you, we will pay you dividends or interest for the period of delay as required by applicable law. The dividends or interest paid to you will be based on the lowest nominal dividend or interest rate we were paying on any account during that period. Payment orders we accept will be executed within a reasonable time of receipt but may not necessarily be executed on the date they are received. Cutoff times may apply to the receipt, execution and processing of fund transfers, payment orders, cancellations, and amendments. If a request for a fund transfer, payment order, cancellation, or amendment is received after a cutoff time, it may be treated as having been received on the next fund transfer business day. Information about any cutoff times is available upon request. Fund Transfers. During the Accumulation Phase, any portion or all of the Individual Account value held in a Fund may be transferred to any other Fund or any available Fixed Interest Option. The Individual Account value will be based on the Fund's accumulation unit value next determined after we receive a transfer request in Good Order.
Fund Transfers. Provided they are consistent with this Escrow Agreement and the limitations on each Legal Entity’s rights to receive, pledge, borrow or otherwise obtain the benefits of any Relinquished Property Proceeds, the particular mechanisms for accomplishing the movement of Escrow Funds described in this Escrow Agreement may be set forth and memorialized in one or more written “Funds Transfer Protocols” attached hereto from time to time as Exhibit A, which shall either (1) be executed by or on behalf of both a Legal Entity and the QI or (2) follow the protocol set forth in Section 3.01 or Section 3.02 hereof. A Funds Transfer Protocol may also consist of a compendium of previously executed documents or charts (e.g., flow charts, corporate resolutions and signature cards) which when taken together obviate the need for a single written protocol.
Fund Transfers. (a) The Escrow Agent is authorized to rely and act upon all instructions given or purported to be given by one or more officers, employees or agents of the Company (i) authorized by or in accordance with a corporate resolution delivered to the Escrow Agent or (ii) described as authorized in a certificate delivered to the Escrow Agent by the appropriate Secretary or Assistant Secretary or similar officer (each such officer, employee or agent or combination of officers, employees and agents authorized pursuant to clause (i) or described pursuant to clause (ii) of this Section 5(a) is hereinafter referred to as an "Authorized Officer"). The Escrow Agent may also rely and act upon instructions when bearing or purporting to bear the signature or facsimile signature of any of the individuals designated by an Authorized Officer regardless of by whom or by what means the actual or purported facsimile signature or signatures thereon may have been affixed thereto if such facsimile signature or signatures resemble the facsimile specimen or specimens from time to time furnished to the Escrow Agent by any of such Authorized Officers, Secretary or an Assistant Secretary or similar officer). In addition, and subject to subsection 7(b) hereof, the Escrow Agent may rely and act upon instructions received by telephone, telex, TXW facsimile transmission, bank wire or other teleprocess acceptable to it which the Escrow Agent believes in good faith to have been given by an Authorized Officer or which are transmitted with proper testing or authentication pursuant to terms and conditions which the Escrow Agent may specify. The Escrow Agent shall incur no liability to the Company or otherwise for having acted in accordance with instructions on which it is authorized to rely pursuant to the provisions hereof. Any instructions delivered to the Escrow Agent by telephone shall promptly thereafter be confirmed in writing by an Authorized Officer but the Escrow Agent shall incur no liability for a failure to send such confirmation in writing, the failure of any such written confirmation to conform to the telephone instruction which it received, the failure of any such written confirmation to be signed or properly signed, or its failure to ...
Fund Transfers. (i) Fund transfers between the Agent and the Lender B shall be settled by the JBA’s Domestic Bank Data Telecommunications System (the “Zengin System”) in principle, and if any Lender B desires to make such settlement by the Bank of Japan Financial Network System (the “BOJ-NET”), such Lender B shall consult with the Agent in advance. Provided, however, that if the Lender B is not a member of the Zengin System, fund transfers shall be settled by the bank account established in the name of such Lender B with a bank designated by the Lender B that is a member of the Zengin System. (ii) The fees for fund transfers provided in the preceding item shall be borne by the party making the relevant fund transfer.
Fund Transfers. You may use the Service to transfer funds among eligible Service Accounts. To electronically schedule a Funds Transfer using Online Banking, you will need to follow the instructions available in the Getting Started Guides on xxx.xxxxxxx.xxx. To electronically schedule a Funds Transfer using Telephone Banking, you must: (i) call and login to Telephone Banking; (ii) select the Service Accounts which will be debited/credited in connection with the transaction; (iii) enter the amount of the Funds Transfer; (iv) enter the Transmit Date you desire for the Funds Transfer; and (v) otherwise follow any User’s Guide instructions provided by the Telephone Banking. A Same Day Funds Transfer must be entered by 6:00 p.m. Central Time on a business day in order for the transfer to be posted to your account on the same day. A Future Dated Transfer may be scheduled as a one time request or a recurring request based on the instructions entered with the request. Future Dated Transfers will be initiated on the Transmit Date requested, not on the date you enter the transaction into the Service application. Future Dated Transfers will transmit on any day, including holidays, weekends, and non-business days. For example, if you entered a Future Dated Transfer that results in a Transmit Date of August 5th, and August 5th is a Saturday, then the transfer will be initiated on Saturday, August 5th. A Funds Transfer request (whether it is a Same Day Funds Transfer or a Future Dated Transfer) may not result in an immediate transfer of funds or immediate funds availability because of the time required to process the transaction. Please note, however, that the Service may offer you certain real-time Funds Transfer capability that may post transactions to your account immediately. You may not be able to change or cancel transactions that have been submitted using these real-time options (you may, however, initiate a new Funds Transfer to reverse the original transaction). Please refer to applicable User’s Guides for additional information on Funds Transfer options. Future Dated Transfers may be cancelled or changed through the Service at any time prior to the Transmit Date.
