Common use of Funding of Indemnification Obligation Clause in Contracts

Funding of Indemnification Obligation. Notwithstanding anything contained herein to the contrary, any indemnity by the Company relating to the matters covered in this Article VIII shall be provided out of and to the extent of Company assets only, and no Member shall have personal liability on account thereof or shall be required to make any Capital Contributions to pay any indemnity by the Company.

Funding of Indemnification Obligation. Notwithstanding anything contained herein to the contrary, any indemnity by the Company relating to the matters covered in this Article VIII Section 7.3 shall be provided out of and to the extent of Company assets Assets only, and no Member (unless such Member otherwise agrees in writing) shall have personal liability on account thereof or shall be required to make any additional Capital Contributions to pay any help satisfy such indemnity by the Company.
