Funds Transfers. If Guarantor shall engage in any transaction as a result of which Seller is required to make a mandatory prepayment with respect to the Guaranteed Obligations under the terms of the Closing Documents, Guarantor shall deliver to the Seller an amount equal to the mandatory prepayment required under the terms of the Closing Documents.
