Common use of Furnishing of Information and Inspection of Records Clause in Contracts

Furnishing of Information and Inspection of Records. Each Originator shall furnish to the SPV or any Managing Agent from time to time such information with respect to the Conveyed Receivables and the Related Assets as the SPV or such Managing Agent may reasonably request, including listings identifying the Obligor and the Unpaid Balance for each Conveyed Receivable. Each Originator shall, at any time and from time to time during regular business hours upon reasonable notice, as requested by the SPV or any Managing Agent, permit the SPV or such Managing Agent, or their respective agents or representatives, (i) to examine and make copies of and take abstracts from all books, records and documents (including computer tapes and disks) relating to the Conveyed Receivables or other Related Assets, including the related Contracts and (ii) to visit the offices and properties of such Originator for the purpose of examining such materials described in clause (i), and to discuss matters relating to the Conveyed Receivables, the Related Assets or such Originator’s performance hereunder, under the Contracts and under the other Transaction Documents to which such Person is a party with any of the officers, directors, employees or independent public accountants of such Originator having knowledge of such matters; provided that unless a Termination Event or Potential Termination Event shall have occurred and be continuing, the Originators shall not be required to reimburse the expenses of more than one (1) such visit in the aggregate among the SPV and the Managing Agents per calendar year. Each Managing Agent and the SPV shall give the Originators the opportunity to participate in any discussions with the Originators’ independent public accountants.

Each Such Originator shall will furnish to the SPV or any Managing Company and the Administrative Agent from time to time such information with respect to the Conveyed Receivables and the Related Assets as the SPV Company or such Managing the Administrative Agent may reasonably request, including listings identifying the Obligor and the Unpaid Balance for each Conveyed Receivable. Each Such Originator shall, at any time and from time to time during regular business hours and upon reasonable notice, as requested by the SPV or any Managing Agent, prior written notice (i) permit the SPV Company or such Managing the Administrative Agent, or their respective agents or representatives, (iA) to examine and make copies of and take abstracts from all books, books and records and documents (including computer tapes and disks) relating to the Conveyed Receivables or other Related Assets, including the related Contracts Rights and (iiB) to visit the offices and properties of such Originator for the purpose of examining such materials described in clause (i)books and records, and to discuss matters relating to the Conveyed Receivables, the other Related Assets Rights or such Originator’s performance hereunder, under the Contracts and hereunder or under the other Transaction Documents to which such Person it is a party with any of the officers, directors, employees or independent public accountants of such Originator (provided that representatives of such Originator are present during such discussions) having knowledge of such matters, in each case to the extent reasonable; provided and (ii) without limiting the provisions of clause (i) above, from time to time on the request of the Administrative Agent upon reasonable prior written notice from the Company or the Administrative Agent permit certified public accountants or other auditors reasonably acceptable to the Administrative Agent (which may include the current auditors of such Originator) to conduct, a review of its books and records with respect to the Receivables. Such examinations and visits shall be at the expense of the applicable Originator, provided, that unless a the Originator shall only be required to pay the expenses of one such examination and visit by or at the request of the Administrative Agent pursuant to this Section 6.1(c) per calendar year so long as no Purchase and Sale Termination Event or Potential Incipient Purchase and Sale Termination Event shall have occurred and be continuing, the Originators shall not be required to reimburse the expenses of more than one (1) such visit in the aggregate among the SPV and the Managing Agents per calendar year. Each Managing Agent and the SPV shall give the Originators the opportunity to participate in any discussions with the Originators’ independent public accountants.

Each Originator of the SPV and the Servicer shall, at any time and from time to time during regular business hours upon reasonable noticehours, as requested by the SPV Administrative Agent or any Managing Agent, permit the SPV or such Managing any Agent, or their respective its agents or representatives, (i) to examine and make copies of and take abstracts from all books, records and documents (including computer tapes and disks) relating to the Conveyed Receivables or other Related Affected Assets, including the related Contracts and (ii) to visit the offices and properties of such the SPV, the Originator or the Servicer, as applicable, for the purpose of examining such materials described in clause (i), and to discuss matters relating to the Conveyed ReceivablesAffected Assets or the SPV's, the Related Assets Originator's or such Originator’s the Servicer's performance hereunder, under the Contracts and under the other Transaction Documents to which such Person is a party with any of the officers, directors, employees or independent public accountants of such the SPV, the Originator or the Servicer, as applicable, having knowledge of such matters; provided that unless . Unless either (i) a Termination Event or Potential Termination Event shall have occurred and be continuingcontinuing at the time an audit is requested by the Administrative Agent, or (ii) an audit of the Originators SPV and the Servicer conducted by the Administrative Agent during any calendar year has not produced audit results reasonably satisfactory to the Administrative Agent, neither SPV nor Servicer shall not be required to reimburse the Administrative Agent or any of the Investors for the fees, costs or expenses in respect of more than one (1) such visit in audit by a third party accounting or auditing firm engaged by the aggregate among the SPV and the Managing Agents per Administrative Agent during any calendar year. Each Managing Agent and the SPV shall give the Originators the opportunity to participate in any discussions with the Originators’ independent public accountants.
