Further Assurances; Satisfaction of Covenants. Seller and Buyer each shall execute such documents and other papers and take or cause to be taken such further action as may be reasonably required to carry out the provisions hereof and to consummate and make effective the transactions contemplated hereby. Seller and Buyer shall each use commercially reasonable efforts to satisfy each of its covenants and obligations under this Agreement and to satisfy each condition to Closing it is required to satisfy hereunder.

Further Assurances; Satisfaction of Covenants. Prior to and after Closing, each of Seller and Buyer, at either Party’s request and without further consideration, shall execute, or cause to be executed, such documents and other papers and take or cause to be taken such further action as may be reasonably required to carry out the provisions of this Agreement and to consummate and make effective the transactions contemplated by this Agreement. Seller and Buyer shall each use commercially reasonable efforts to satisfy each of its covenants and obligations under this Agreement and to satisfy each condition to Closing it is required to satisfy under this Agreement (other than those conditions contemplated to be satisfied at Closing) prior to Closing and so as to permit Closing to occur by the Outside Closing Date.
