Common use of Further Transfers Clause in Contracts

Further Transfers. After the Closing, Seller shall, and shall cause its affiliates to, execute and deliver such further instruments of conveyance and transfer and take such additional action as Purchasers may reasonably request to effect, consummate, confirm or evidence the transfer to Purchasers of the Purchased Assets. Seller shall execute such documents as may be necessary to assist Purchasers (or their designees) in preserving or perfecting its rights in the Purchased Assets.

Further Transfers. After the Subsequent to Closing, Seller shall, and shall cause its affiliates to, will execute and deliver such further instruments of conveyance and transfer and take such additional action as Purchasers Buyer may reasonably request to effect, consummate, confirm or evidence the transfer to Purchasers Buyer of the Purchased Assets. Seller shall will execute such documents as may be necessary to assist Purchasers (or their designees) Buyer in preserving or perfecting its rights in the Purchased Assets.
