Common use of Future Information Clause in Contracts

Future Information. All Information furnished to any Lending Party by or on behalf of any Credit Party on and after the Closing Date in connection with or pursuant to this Agreement or any other Loan Document or in connection with or pursuant to any amendment or modification of, or waiver under, this Agreement or any other Loan Document, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any such information prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, in the case of any such Information required by the terms of this Agreement or the preparation of which was requested by any Lending Party, be complete and correct in all material respects to the extent necessary to give true and accurate knowledge of the subject matter thereof, and (ii) not contain any untrue statement of a material fact or omit to state any material fact necessary to make the statements contained therein, in light of the circumstances in which they are made, not misleading, and the furnishing of the same to any Lending Party shall constitute a representation and warranty by the Credit Parties made on the date the same are so furnished to the effect specified in clauses (i) and (ii).

Future Information. All Information furnished to any Lending Party by or on behalf of any Credit Party on and after the Closing Agreement Date in connection with or pursuant to this Agreement or any other Loan Document or in connection with or pursuant to any amendment or modification of, or waiver under, this Agreement or any other Loan Document, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any such information Information prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, in the case of any such Information required by the terms of this Agreement or the preparation of which was requested by any Lending PartyParty pursuant to the terms of this Agreement, be complete and correct in all material respects to the extent necessary to give true and accurate knowledge of the subject matter thereof, and (ii) not contain any untrue statement of a material fact or omit to state any material fact necessary to make the statements contained therein, in light of the circumstances in which they are made, not misleading, and the furnishing of the same to any Lending Party shall constitute a representation and warranty by the Credit Parties made on the date the same are so furnished to the effect specified in clauses (i) and (ii).

All Information furnished to any Lending Party the Lender by or on behalf of any Credit Party on and after the Closing Date in connection with or pursuant to this Agreement or any other Loan Document or in connection with or pursuant to any amendment or modification of, or waiver under, this Agreement or any other Loan Document, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any such information prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, in the case of any such Information required by the terms of this Agreement or the preparation of which was requested by any Lending PartyLender, be complete and correct in all material respects to the extent necessary to give true and accurate knowledge of the subject matter thereof, and (ii) not contain any untrue statement of a material fact or omit to state any material fact necessary to make the statements contained therein, in light of the circumstances in which they are made, not misleading, and the furnishing of the same to any Lending Party Lender shall constitute a representation and warranty by the Credit Parties made on the date the same are so furnished to the effect specified in clauses (i) and (ii).

Future Information. All Information furnished to any Lending Party the Administrative Agent or the Banks by or on behalf of any Credit each Account Party on and or after the Closing Agreement Date in connection with or pursuant to this Agreement or any other the Loan Document Documents or in connection with or pursuant to any amendment or modification of, or waiver of rights under, this Agreement or any other the Loan DocumentDocuments, shall, at the time the same is so furnished, but in the case of Information dated as of a prior date, as of such date, (i) in the case of any such information Information prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, in the case of any such Information required by the terms of this Agreement the Loan Documents or the preparation of which was requested by any Lending PartyBank, be complete and correct in all material respects to the extent necessary to give such Bank true and accurate knowledge of the subject matter thereof, and (ii) not contain any untrue statement of a material fact or fact, and (iii) not omit to state any a material fact necessary in order to make the statements contained therein, therein not misleading in the light of the circumstances in under which they are were made, not misleading, and the furnishing of the same to the Administrative Agent or any Lending Party Bank shall constitute a representation and warranty by the Credit Parties such Account Party made on the date the same are so furnished to the effect specified in clauses (i), (ii) and (iiiii).
