Common use of GE INVESTMENTS SUB PURCHASE OF VIDEOSEEKER ASSETS Clause in Contracts

GE INVESTMENTS SUB PURCHASE OF VIDEOSEEKER ASSETS. (a) Subject to the satisfaction or waiver of the conditions set forth in this Agreement, at the Closing and immediately prior to the Effective Time, GE Investments Sub will purchase and NBC will sell, assign, transfer, convey and deliver the Videoseeker Assets, free and clear of all Liens except those set forth on Schedule 1.1(e), in consideration for a reduction in the amount of indebtedness of NBC owing to GE Investments Sub. (b) In connection with the transactions described in SECTION 2.3(A), GE Investments Sub and NBC shall execute all bills of sale and other agreements which are reasonably necessary to affect the transactions described therein.
