Client represents and confirms that Client has full power and authority to execute, deliver, enter into, and perform Client’s obligations under this Advisory Agreement. Client represents that Advisory Agreement has been duly authorized, executed, and delivered by Client and is the legal, valid, and binding agreement of Client, enforceable against Client in accordance with its terms, and that the terms of this Advisory Agreement do not violate any obligation by which the Client is bound, whether arising by contract, operation of law, or otherwise.
