General assets of the Employer. Prior to the payment of Deferred Compensation to the Employee, the amounts invested by the Employer in VantageTrust or otherwise set aside or segregated to satisfy the Employer’s obligations under this Agreement shall be the sole property of the Employer, and the Employee shall have no claim against the Employer except as a general creditor under this Agreement.

General assets of the Employer. Nothing contained in this Agreement nor any action taken pursuant to the provisions of this Agreement shall create or be construed to create a trust of any kind, or a fiduciary relationship between the Employer and the Employee, his designated beneficiary or any other person. Any funds which may be used to discharge the Employer's obligations under the provisions of this Agreement shall be paid from the general funds of the Employer, and no person other than the Employer shall, by virtue of the provisions of this Agreement, have any interest in such funds or assets. To the extent that any person acquires a right to receive payments from the Employer under this Agreement, such right shall be no greater than the right of any unsecured general creditor of the Employer.

  • Assets Under Management Each quarter, W&R shall calculate and pay to Company a fee that shall be equal to fifty (50) basis points, on an annualized basis, of the average daily account value of all assets in the Portfolios in connection with the Contracts (“Aggregated Assets”), provided, however, that the fee is subject to change pursuant to Paragraph (b) below. The fee (the “Total Fee”) shall include and not be in addition to the payment by W&R of the 12b-1 fees received by W&R from Ivy Funds VIP relating to the Aggregated Assets.
