Common use of General Authority Clause in Contracts

General Authority. The Owner Trustee is authorized and directed to execute and deliver the Notes, the Ownership Certificate, and the other Operative Agreements to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements to which the Trust is to be a party and any amendment or other agreement or instrument described herein, as evidenced conclusively by the Owner Trustee’s execution thereof, and, on behalf of the Trust, to direct the Owner Trustee to authenticate the Notes. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative Agreements.

General Authority. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative Agreements.

General Authority. General Authority. The Owner Trustee is authorized and directed to execute and deliver on behalf of the Notes, Trust the Ownership Certificate, and the other Operative Agreements Basic Documents to which the Trust is to be named as a party and each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements Basic Documents to which the Trust is to be named as a party and any amendment or other agreement or instrument described hereinthereto, in each case, in such form as the Depositor shall approve as evidenced conclusively by the Owner Trustee’s execution thereof, and, and on behalf of the Trust, to direct the Owner Trustee Administrator to authenticate and deliver the Notes. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative AgreementsBasic Documents. The Owner Trustee is further authorized from time to time to take such action as the Certificate Majority recommends with respect to the Basic Documents so long as such activities are consistent with the terms of the Basic Documents.

General Authority. The Owner Trustee is authorized and directed to execute and deliver the Notes, the Ownership CertificateCertificates, and the other Operative Agreements to which the Trust is to be a party and party, each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements to which the Trust is to be a party and any amendment or other agreement or instrument described herein, all as approved by the Depositor, as evidenced conclusively by the Owner Trustee’s execution thereof, and, on behalf of the Trust, to direct the Owner Trustee Securities Administrator to authenticate the Notes. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative Agreements.

In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative AgreementsTransaction Documents.

In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative AgreementsTransaction Documents. The Owner Trustee is further authorized from time to time to take such action as the Administrator recommends with respect to the Transaction Documents.

In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative Agreements.

In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative Agreements.

General Authority. The Owner Trustee is authorized and directed to execute and deliver the Notes, the Ownership Certificate, and the other Operative Agreements Agreements, including each Cap Agreement, to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements to which the Trust is to be a party and any amendment or other agreement or instrument described herein, as evidenced conclusively by the Owner Trustee’s execution thereof, and, on behalf of the Trust, to direct the Owner Trustee to authenticate the Notes. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative Agreements.

In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative AgreementsBasic Documents. Trustee is further authorized from time to time to take such action as Manager recommends with respect to the Basic Documents.

General Authority. The Owner Trustee is authorized and directed to execute and deliver the Notes, the Ownership CertificateCertificates, and the other Operative Agreements Transaction Documents to which the Trust it is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements Transaction Documents to which the Trust is to be a party and any amendment or other agreement or instrument described herein, as evidenced conclusively by the Owner Trustee’s 's execution thereof, and, on behalf of the Trust, to direct the Owner Trustee to authenticate the Notes. The Owner Trustee is authorized authorized, empowered and directed to execute and deliver deliver, on behalf of the NotesTrust, each of the Ownership Certificate, and the other Operative Agreements Basic Documents to which the Trust is, or is to be be, a party and each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements Basic Documents to which the Trust is, or is to be be, a party and any amendment or other agreement or instrument described herein, as evidenced conclusively by the Owner Trustee’s 's execution thereof, and, on behalf of the Trust, to direct the Owner Trustee to authenticate the Notes. In addition to the foregoing, the Owner Trustee Trustee, in the name and on behalf of the Trust, shall have the power and authority, and hereby is authorizedauthorized and empowered, but shall not be obligated, except as otherwise provided in this Trust Agreement, to take all actions required of the Trust pursuant to the Operative AgreementsBasic Documents.

The Subject to the provisions and limitations of Sections 2.03 and 2.06, the Owner Trustee is authorized and directed to execute and deliver the Notes, the Ownership Certificate, and the other Operative Agreements Transaction Documents to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements Transaction Documents to which the Trust is to be a party and any amendment or other agreement or instrument described herein(in each case, in such form as approved by the Trust Depositor), as evidenced conclusively by the Owner Trustee’s 's execution thereof, and, on behalf of the Trust, to direct the Owner Trustee to authenticate the Notes. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative AgreementsTransaction Documents. The Owner Trustee is further authorized from time to time to take such action as the Administrator recommends with respect to the Transaction Documents.

General Authority. The Owner Trustee is authorized and directed to execute and deliver the Notes, the Ownership Certificate, and the other Operative Agreements to Basic Documents which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements Basic Documents to which the Trust is to be a party and any amendment or other agreement or instrument described hereinparty, in each case, in such form as the Depositor shall approve, as evidenced conclusively by the Owner Trustee’s 's execution thereof, and, and on behalf of the Trust, to direct the Owner Indenture Trustee to authenticate and deliver any Class of Notes of any Series in an aggregate principal amount specified by the NotesDepositor. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative AgreementsBasic Documents. The Owner Trustee is further authorized from time to time to take such action as the Trust Administrator recommends with respect to the Basic Documents.

General Authority. The Owner Trustee is authorized and directed to execute and deliver the Notes, the Ownership Certificate, and the other Operative Agreements Related Documents to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements Related Documents to which the Trust is to be a party and any amendment or other agreement or instrument described hereinthereto, as evidenced conclusively by the Owner Trustee’s execution thereof, and, and on behalf of the Trust, to direct the Owner Indenture Trustee to authenticate and deliver the NotesClass A Notes in the aggregate principal amount of $536,957,000, and the Class M Notes in the aggregate principal amount of $38,043,000. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative AgreementsRelated Documents. The Owner Trustee is further authorized, on behalf of the Trust, to enter into the Administration Agreement, to appoint a successor Administrator.

General Authority. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative AgreementsTransaction Documents.

In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust pursuant to the Operative AgreementsBasic Documents.

The Owner Trustee is authorized and directed to execute and deliver or cause to be executed and delivered the Notes, the Ownership Certificate, Trust Certificates and the other Operative Agreements each Basic Document to which the Trust is to be a party and each certificate or other document attached as an exhibit to or contemplated by the Operative Agreements each Basic Document to which the Trust is to be a party and any amendment or other agreement or instrument described hereinin Article II or III, in each case, in such form as the Depositor shall approve, as evidenced conclusively by the Owner Trustee’s 's execution thereof, and, on behalf of the Trust, to direct the . The Owner Trustee shall authenticate and deliver, or cause to authenticate be authenticated and delivered, the NotesTrust Certificates. In addition to the foregoing, the Owner Trustee is authorized, but shall not be obligated, to take all actions required of the Trust Trust, pursuant to the Operative AgreementsBasic Documents.
