General Business. Seller shall provide a Unit Failure Analysis report on all field returned Products and a Component Failure Analysis report on a monthly basis to Nortel's Repair Manager, to Nortel's Quality Manager and to Nortel's Product Brand Manager. This report which will be issued no later than three (3) Business Days after the start of every month shall contain the following information:
General Business. The Corporation must hold an annual shareholders meeting; if necessary, the Corporation may also hold one or more special shareholder meetings.
General Business. From the date hereof until the Closing, the Trading Partnership covenants that it will (and the SF General Partner covenants that it will cause both the Trading Partnership and the Operating Partnership to) and the Purchaser covenants that it and each of its subsidiaries will (and the KM General Partner covenants that it will cause the Purchaser and each of its subsidiaries to):
(i) maintain its assets and properties in good working order and condition as of the date hereof, ordinary wear and tear and casualty excepted;
(ii) use its reasonable business efforts to maintain and preserve in all material respects its business organization intact and maintain in all material respects its relationship with suppliers, customers, lessors and others having business relations with it;
(iii) file on a timely basis all notices, reports or other filings required to be filed with or reported to any federal, state, municipal or other governmental department, commission, board, bureau, agency or any instrumentality of any of the foregoing wherever located; and
(iv) file on a timely basis all applications or other documents necessary to maintain, renew or extend any material permit, license, variance or any other approval required by any governmental authority necessary or required for the continuing operation of its business, whether or not such approval would expire before or after the Closing Date.
General Business. From the date hereof until the Effective Time, the National MLP covenants that it will (and the National MGP covenants that it will cause the National MLP, the National OLP and NSSI to):
(i) maintain its assets and properties in good working order and condition as of the date hereof, ordinary wear and tear and casualty excepted;
(ii) use its commercially reasonable efforts to maintain and preserve in all material respects its business organization intact and maintain in all material respects its relationships with suppliers, customers, lessors and others having business relations with it;
(iii) file on a timely basis all notices, reports or other filings required to be filed with or reported to any federal, state, municipal or other governmental department, commission, board, bureau, agency or any instrumentality of any of the foregoing wherever located;
(iv) file on a timely basis all applications or other documents necessary to maintain, renew or extend any material permit, license, variance or any other approval required by any governmental authority necessary or required for the continuing operation of its business, whether or not such approval would expire before or after the Effective Time; and
(A) file or caused to be filed, within the times and in the manner prescribed by law, all Tax Returns and Tax reports that are required to be filed by such person determined consistent with prior practices; (B) pay or cause to be paid, within the time and in the manner prescribed by law, all material Taxes (including any estimated Taxes) imposed on such party that are currently due and payable; and (C) establish and maintain reserves adequate to pay all material Taxes not yet due or payable as of the date of Closing and for any deferred taxes in accordance with GAAP, determined in each case assuming the National MLP and the National OLP are partnerships for tax purposes.
General Business. Contractor shall procure and maintain at the Contractor’s expense and require subcontractors to procure and maintain at their expense the following insurance. All policies must be in the joint names of the Purchaser and the Contractor and must be maintained current for the full period of the Agreement. Unless otherwise stated in the Agreement, the values stated in this clause will apply.
(i) Workers’ Compensation insurance issued by the relevant Authorities in each jurisdiction where any Employee of Contractor or Contractor’s Sub-contractors perform any Services in any way related to this Agreement, including Employer’s liability insurance to protect Contractor and Contractor’s subcontractor against any claims and liability arising out of the Common Law or Statutes relating to employees for accident or injury to any person employed by Contractor or by any subcontractor in connection with the Services.
(ii) Public Liability Insurance covering all of Contractor’s operations hereunder including but not limited to the operations of all subcontractors, the operation of vehicles and equipment which are not registered for road use by Contractor or subcontractors with a limitation of not less than AUD 20,000,000, any one occurrence, for injury to or death of any one or more persons and for property damage.
(iii) Automobile bodily injury liability insurance and automobile property damage liability insurance on all vehicles which may at any time, or from time to time, be used in performance of or in connection with the Services.
General Business. Including partnerships, mercantile transactions, incorporated companies, powers of attorney, contracts or agreements, tax or other similar matters for which professional charges are not otherwise prescribed. Unless otherwise agreed to be charged in accordance with Chapter 3.

General Business. The Company develops a diverse line of core products, contracts for the manufacture of those products to the Company's specifications, and markets those products to customers. The Company's strength and history has been its strategy in marketing to the Home Shopping Industry by identifying the industry's key product segments (i.e. collectibles, environmental systems, jewelry, health and beauty) and building Brand recognition within those product segments. The Company often provides a celebrity or expert spokesperson to enhance the appeal of the product. The Company's celebrity programs have included products endorsed by Xxxxx Xxxxxx, Xxxxxxx Xxxxxxxxx, Xxx Xxxxxx, Xxxxxx Xxxxxxx, Xxxxx Xxxxxxxxx, Xxxxxxx Xxxxxxx, Xxxxxxx Xxxxxx, Xxxx Xxxxxxx and Xxx XxXxxxxxxx. The Company plans to expand celebrity programs introducing new key product segments.

General Business. Unless otherwise specified in this lease, Tenant will operate and conduct its business in the leased premises during business hours that are typical of the industry in which Tenant represents it operates.
