Common use of General Counsel Opinion Clause in Contracts

General Counsel Opinion. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of J. Xxxxxxx XxXxxxxxxx, general counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters substantially in the form of Exhibit B hereto and to such further effect as counsel to the Underwriters may reasonably request.

General Counsel Opinion. At the Closing TimeDate, the Representatives Representative shall have received the favorable opinion, dated as of the Closing TimeDate, of J. Xxxxxxx XxXxxxxxxxXxxxxxxxxxx X. Xxxxxx, general counsel for Senior Vice President, General Counsel and Secretary of the CompanyCompany (the “General Counsel”), addressed to the Underwriters and in form and substance satisfactory to counsel for the UnderwritersRepresentative, together with signed or reproduced copies of such letter opinion for each of the other Underwriters substantially Underwriters, to the effect set forth in the form of Exhibit B F-2 hereto and to such further effect as counsel to the Underwriters Representative may reasonably request.

Xxxxxxx Rxxxxxx XxXxxxxxxx, general counsel for the Company, in form and substance satisfactory to counsel for the UnderwritersUnderwriter, together with signed or reproduced copies of such letter for each of the other Underwriters substantially in the form of Exhibit B C hereto and to such further effect as counsel to the Underwriters Underwriter may reasonably request.
