General Mutual Warranties. Each Party represents and warrants that: (i) it is a duly organized and validly existing corporation, and is in good standing in the laws of the state in which the respective entity was formed; (ii) it has all authorizations, approvals and consents required for the execution of this Agreement and fulfillment of its obligations herein; (iii) it has full right, power and authority to enter into this Agreement and properly carry out all of the terms hereof; (iv) at all times during the term of this Agreement, each Party shall fully comply with all applicable federal and state laws, including all employment laws and obligations as an employer.

General Mutual Warranties. Each party has the corporate power and authority to own its properties and to carry on its business as now being conducted and as contemplated to be conducted. Each party is duly qualified to do business and in good standing as a foreign corporation under the laws of each jurisdiction in which the failure to be so qualified would have a material adverse effect on it.

All representations and warranties made under this Agreement and the other Loan Documents shall be deemed to be made at and as of the Agreement Date, the Effective Date, the date on which any extension of the Termination Date is effectuated pursuant to Section 2.11. and the date of the occurrence of any Credit Event, except to the extent that such representations and warranties expressly relate solely to an earlier date (in which case such representations and warranties shall have been true and accurate on and as of such earlier date) and except for changes in factual circumstances specifically permitted hereunder. All such representations and warranties shall survive the effectiveness of this Agreement, the execution and delivery of the Loan Documents and the making of the Loans and the issuance of the Letters of Credit.
