General Partner Status. The General Partner shall at all times (i) maintain its status as a self-directed and self-administered REIT, and (ii) remain a publicly traded company listed on the New York Stock Exchange.

HHRI shall cease at any time to be the sole general partner of the Borrower. then, and in any such event, and at any time thereafter, if any Event of Default shall then be continuing, the Administrative Agent, upon the written request of the Required Lenders, shall by written notice to the U.S. Borrower, take any or all of the following actions (provided that, if an Event of Default specified in Section 12.05 shall occur with respect to any Borrower, the result which would occur upon the giving of written notice by the Administrative Agent as specified in clauses (i), (ii), (iv) and (vii) below shall occur automatically without the giving of any such notice): (i) declare the Total Revolving Loan Commitment (including the Total Maximum Canadian Dollar Revolving Loan Sub-Commitment and all other Commitments) terminated, whereupon all Commitments of each Lender shall forthwith terminate immediately, Total Revolving Loan Commitment shall immediately be reduced to zero and any Commitment Commission and any Canadian Commitment Commission shall forthwith become due and payable without any other notice of any kind; (ii) declare the principal of, the Face Amount of and any accrued interest in respect of all Revolving Loans and the Revolving Notes and all Obligations owing hereunder (including Unpaid Drawings) and thereunder to be, whereupon the same shall become, forthwith due and payable without presentment, demand, protest or other notice of any kind, all of which are hereby waived by each Credit Party; (iii) terminate any Letter of Credit which may be terminated in accordance with its terms; (iv) direct the relevant Borrowers to pay (and the relevant Borrowers agree that upon receipt of such notice, or upon the occurrence of an Event of Default specified in Section 12.05 with respect to any Borrower, they will pay) to the Collateral Agent at the appropriate Payment Office such additional amount of cash, to be held as security by the Collateral Agent for the respective Borrower’s reimbursement obligations in respect of Letters of Credit then outstanding, as is equal to the aggregate Stated Amount of all Letters of Credit then outstanding for the account of such Borrower and which may be applied by the Administrative Agent to the repayment of Obligations in respect of Letters of Credit and which may not be withdrawn by the U.S. Borrower or any of its Subsidiaries so long as the Letter of Credit to which such cash collateral is attributable remains outstanding; (v)...
General Partner Status. The Form 10, in substantially the form in effect as of the Escrow Date (as such Form 10, together with all schedules and exhibits thereto, may be further amended or supplemented in a manner that is not adverse to the interests of the Banks in any material respect or could not otherwise reasonably be expected to have a Material Adverse Effect), filed with respect to General Partner’s common stock shall have become effective and General Partner’s common stock shall have been approved for listing on the New York Stock Exchange.

(1) General Partner (i) at all times operates its business in a manner not to prevent it from qualifying for status as a REIT under the Code and (ii) from and after the date that General Partner’s election to qualify as a REIT under the Code is effective, General Partner is qualified and intends to continue to qualify as a REIT (provided that, General Partner shall elect to be taxed as a REIT under the Code commencing with its 2018 taxable year (or, at the election of General Partner, commencing with its 2017 taxable year)).
