Global Brand Elements Sample Clauses

Global Brand Elements. The Parties, through their respective Alliance Managers, may endeavor to develop and adopt the key distinctive colors, logos, images, symbols, and trademarks to be used in both Territories in connection with the Commercialization of the Licensed Products. Each Party shall own the rights in such global brand elements in its Territory and shall Commercialize the Licensed Products in its Territory in a manner consistent with the applicable global brand elements.
Global Brand Elements. The Participating Party shall Commercialize such Unilateral Product in the Royalty Region in a manner consistent with the applicable key distinctive colors, logos, images, and symbols, and, subject to Section 8.3(b), the Product Trademarks developed by the applicable JMC for Commercialization of the Joint Product in the Profit Share Region.
Global Brand Elements. The Parties, through their respective representatives on the JMC (and subject to the dispute resolution provisions of Section 13.6), shall develop and adopt the key distinctive colors, logos, images, and symbols, and the Trademarks (including the Product Trademarks) to be used in the Licensee Territory and the United States in connection with the Commercialization of each Licensed Product (such branding elements, collectively, the “Global Brand Elements”). Each Party shall Commercialize each Licensed Product in a manner consistent with the applicable Global Brand Elements in its respective part of the Licensee Territory and the United States. Either Party, through its representatives on the JMC, may propose amendments to the Global Brand Elements at any time. In discussing the Global Brand Elements, the Parties shall also consider the prospect of Commercializing the Licensed Products under the Global Brand Elements in the Licensor Territory, but Licensor shall be under no obligation to adopt any recommendations of Licensee with respect to the Trademarks to be used in the Licensor Territory.
Global Brand Elements. Partner acknowledges that Kiniksa or its Affiliate may decide to develop and adopt certain distinctive colors, logos, images, symbols, and trademarks to be used in connection with the Commercialization of the Licensed Product on a global basis (such branding elements, collectively, the “Global Brand Elements”).
Global Brand Elements. Licensee acknowledges that Licensor or its Affiliate may decide to develop and adopt certain distinctive colors, logos, images, symbols, trade dress, and trademarks to be used in connection with the Commercialization of each Licensed Product on a global basis (such branding elements, collectively, the “Global Brand Elements”).
Global Brand Elements. GenFleet acknowledges that Verastem may elect to develop and adopt certain distinctive Trademarks, designs, or copyrights to be used in connection with the Commercialization of the Licensed Products on a global basis (such branding elements, collectively, the “Global Brand Elements”). As between the Parties, Verastem will be the sole and exclusive owner of all Global Brand Elements. If Verastem so elects, then: (a) Verastem and GenFleet will negotiate in good faith and enter into a trademark license agreement pursuant to which Verastem will grant to GenFleet the non-exclusive right to use such Global Brand Elements solely to Commercialize Licensed Products in the Retained Territory, and (b) GenFleet will Commercialize the Licensed Product in the Retained Territory in a manner consistent with such Global Brand Elements. Notwithstanding the foregoing, in the event no such Global Brand Elements exist at the time GenFleet intends to begin Commercializing Licensed Products in the Retained Territory, then GenFleet shall promptly notify Verastem, and the Parties will discuss, through the JSC, and mutually agree on a joint global branding and marketing strategy with respect to the Commercialization of the applicable Licensed Products throughout each of their respective territories.
Global Brand Elements. Torii acknowledges that BioCryst may decide to develop and adopt certain distinctive colors, logos, images, symbols, and trademarks to be used in connection with the Commercialization of the Licensed Product on a global basis (such branding elements, collectively, the “Global Brand Elements”). BioCryst will and hereby does ▇▇▇▇▇ ▇▇▇▇▇ the exclusive right to use such Global Brand Elements in connection with the Commercialization of the Licensed Product in the Field in the Territory.
Global Brand Elements. ▇▇▇▇▇▇ acknowledges that Viridian may decide to develop and adopt certain distinctive colors, logos, images, symbols, and trademarks to be used in connection with the Commercialization of the Licensed Product on a global basis (such branding elements, collectively, the “Global Brand Elements”).
Global Brand Elements. Zai acknowledges that Blueprint may decide to develop and adopt certain distinctive colors, logos, images, symbols, and trademarks to be used in connection with the Commercialization of each Licensed Product on a global basis (such trademarks, the “Product Marks” and such other branding elements together with the Product Marks, collectively, the “Global Brand Elements”). Blueprint will and hereby does grant Zai the exclusive right to use such Global Brand Elements in connection with the Commercialization of each Licensed Product in the Field in the Territory in accordance with the applicable Commercialization Plan.
Global Brand Elements. As between the Parties, 4DMT will develop a global branding strategy for the Licensed Product and adopt key distinctive colors, logos, images, symbols, and Trademarks, including the Licensed Product Trademark, to be used in connection with the Commercialization of the Licensed Product throughout the world (such branding elements, collectively, the “Global Brand Elements”). The IP Sub-Committee will discuss and agree upon Global Brand Elements, including local language product names and back-up product Trademarks, for each country in the Territory; provided that Otsuka shall be responsible for conversion of product names and Trademarks into local languages. 4DMT shall own all rights in the Global Brand Elements and shall register and maintain the Global Brand Elements in each country in the Territory as agreed by the IP Sub-Committee (including local translations, Katakana and Chinese characters, taglines, slogans, trademarks and domain names), at 4DMT’s own cost and expense; provided that 4DMT will register and maintain the product name Trademarks in each country in the Territory unless Otsuka provides written notice to 4DMT that Otsuka will not seek to Commercialize the Licensed Product in such country or will cease Commercializing the Licensed Product in such country, which notice Otsuka shall promptly provide to 4DMT upon making the decision to not seek to Commercialize the Licensed Product in such country or to cease Commercializing the Licensed Product in such country. Subject to the terms and conditions of this Agreement, 4DMT hereby grants to Otsuka an exclusive, royalty-free license, with the right to sublicense pursuant to Section 7.3 solely to use the then-current Global Brand Elements in Commercializing the Licensed Product in the Field in the Territory. Otsuka shall be required to Commercialize the Licensed Product in the Territory using the Global Brand Elements in a manner consistent with 4DMT’s global branding strategy for the Licensed Product and the Trademark Guidelines, provided that, with respect to each country within the Territory, Otsuka shall not be required to use such Global Brand Elements in such manner in such country if such use (i) is impermissible under Applicable Law of such country or (ii) could reasonably be considered inappropriate (culturally, linguistically or otherwise) in such country.
