Good Faith Transaction. Buyer and Seller acknowledge and agree that the parties have negotiated this Agreement and the consideration to be paid hereunder in good faith. Buyer and Seller acknowledge and agree that the consideration contained in this Agreement is set at fair market value, is commercially reasonable and was negotiated in an arms’ length transaction. Buyer and Seller acknowledge and agree that they have been represented by counsel during the negotiation and execution of this Agreement and, therefore, waive the application of any Applicable Law or rule of construction providing that ambiguities in an agreement or other document will be construed against the party drafting such agreement or document.
