Common use of Good Standings Clause in Contracts

Good Standings. The Representative shall have received at the time this Agreement is executed, and at the Closing Date and at each Option Closing Date (if any), satisfactory evidence of the good standing of the Company and its subsidiaries in their respective jurisdictions of organization and their good standing as foreign entities in such other jurisdictions as the Representative may request, in each case in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictions.
