GOVERNING DOCUMENTS, LAWS, AND REGULATIONS. 1.1 Agreement and documents constituting Agreement. The current Texas Medicaid Provider Procedures Manual (Provider Manual) may be accessed via the internet at xxx.xxxx.xxx. Provider has a duty to become educated and knowledgeable with the contents and procedures contained in the Provider Manual specifically the Ordering- or Referring-Only Providers and the Ordering or Referring Provider NPI sections. Provider agrees to comply with all of the applicable requirements of the Provider Manual, as well as all state and federal laws governing or regulating Medicaid, and Provider further acknowledges and agrees that the Provider is responsible for ensuring that all employees and agents of the Provider also comply. Provider agrees to acknowledge HHSC’s provision of enrollment processes and authority to make enrollment decisions as found in Title 1, Part 15, Chapter 352 of the Texas Administrative Code. Provider is specifically responsible for ensuring that the Provider and all employees and agents of the Provider comply with the requirements of Title 1, Part 15, Chapter 371 of the Texas Administrative Code, related to waste, abuse and fraud, and Provider acknowledges and agrees that the Provider will be held responsible for violations of this Agreement through any acts or omissions of the Provider, its employees, and its agents.

  • Governing Laws and Regulations a. That this Agreements shall be governed by the provisions of the India Contract Act, 1872, the Consumer Protection Act, 2019, Consumer Protection (Direct Selling} Rules, 2021 or other laws of the land.

  • Compliance with Applicable Laws and Regulations (a) The Company shall not be required to issue or deliver any Shares pursuant to this Agreement pending compliance with all applicable federal and state securities and other laws (including any registration requirements or tax withholding requirements) and compliance with the rules and practices of any stock exchange upon which the Company’s Shares are listed.

  • COMPLIANCE WITH FEDERAL LAWS AND REGULATIONS Contractor, to the extent applicable to this Agreement, shall comply with the following Federal laws and regulations as set forth in 24 CFR §§570.600-612:

  • Compliance with all Applicable Laws and Regulations Grantee must comply with all applicable federal, state and local laws, rules, regulations, and ordinances in administering CRF under this Agreement. Grantee acknowledges that this requirement includes, but is not limited to, compliance with all applicable federal, state, and local health and safety rules and regulations. Grantee’s failure to comply with any part of this provision is material and must be grounds for termination of this Agreement for cause by Florida Housing.

  • Governing Documents Manager will provide Subadviser with copies of (i) the Trust’s Declaration of Trust and By-laws, as currently in effect, (ii) the Fund’s currently effective prospectus and statement of additional information, as set forth in the Trust’s registration statement under the Investment Company Act and the Securities Act of 1933, as amended, (iii) any instructions, investment policies or other restrictions adopted by the Trustees or Manager relating to its performance of oversight of the Subadviser supplemental thereto, and (iv) the Management Contract. Manager will provide Subadviser with such further documentation and information concerning the investment objectives, policies and restrictions applicable to the Fund as Subadviser may from time to time reasonably request.
