Governing Law and Amendments. The corporate law of Delaware shall govern all issues concerning the relative rights of the Company and the holders of its Common Stock. In all other matters, this Warrant shall be construed and enforced under the laws of the State of Tennessee. No amendment or modification hereof shall be effective except in a writing executed by each of the Company and the Holder.
