Governing Law and Attorney’s Fees. This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada. In the event of any action at law or suit in equity in relation to this Agreement or any exhibit or other instrument or agreement required hereunder, the prevailing Party in such action or suit shall be entitled to receive its or his attorneys’ fees and all other costs and expenses of such action or suit.
