Governing Law and Attornment. This Agreement shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein and each Party submits to the exclusive jurisdiction of Alberta courts in any proceeding related to this Agreement.
Governing Law and Attornment. This Agreement will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. For the purpose of all legal proceedings, this Agreement will be deemed to have been made and performed in the Province of Ontario and the courts of the Province of Ontario will have exclusive jurisdiction to entertain any action arising under this Agreement. The IESO and the Participant each hereby attorns to the exclusive jurisdiction of the courts of the Province of Ontario.
Governing Law and Attornment. This Agreement shall be construed and enforced in accordance with the laws of British Columbia and the laws of Canada applicable therein and the parties agree to submit to the sole, original and exclusive jurisdiction of the courts of British Columbia (and the Supreme Court of Canada, as applicable).
Governing Law and Attornment. This Investment Agreement shall be governed by the laws of the Province of Alberta and the laws of Canada applicable therein, notwithstanding any conflict of laws rules that would apply the laws of another jurisdiction, and the Parties hereby irrevocably attorn to the exclusive jurisdiction of the courts in the Province of Alberta for all disputes arising under this Investment Agreement.
Governing Law and Attornment. This Agreement and all related agreements between the parties hereto shall be governed by and construed in accordance with the laws of the Province of British Columbia, without reference to its rules governing the choice or conflict of laws. The parties hereto irrevocably attorn and submit to the exclusive jurisdiction of the courts of the Province of British Columbia, sitting in the city of Vancouver, with respect to any dispute to or arising out of this Agreement.
Governing Law and Attornment. 6.3.1 This Agreement will be governed by the laws of Quebec and the federal laws of Canada applicable therein.
6.3.2 Each of the parties irrevocably and unconditionally submits and attorns to the exclusive jurisdiction of the courts of the province of Quebec to determine all issues, whether at law or in equity, arising from this Agreement. To the extent permitted by applicable law, each of the parties:
(a) irrevocably waives any objection, including any claim of inconvenient forum, that it may now or in the future have to the venue of any legal proceeding arising out of or relating to this Agreement in the courts of the province of Quebec, or that the subject matter of this Agreement may not be enforced in the courts of province of Quebec;
(b) irrevocably agrees not to seek, and waives any rights to, judicial review by any court which may be called upon to enforce the judgment of the courts referred to in this Section 6.3, of the substantive merits of any suit, action or proceeding; and
(c) to the extent a party has or may acquire any immunity from the jurisdiction of any court or from any legal process, whether through service or notice, attachment before judgment, attachment in aid of execution, execution or otherwise, with respect to itself or its property, that party irrevocably waives that immunity in respect of its obligations under this Agreement.
Governing Law and Attornment. This Agreement will be exclusively governed by, and interpreted and construed in accordance with, the laws prevailing in the State of Nevada and the parties irrevocably and unconditionally attorn to the jurisdiction of the courts of the State of Nevada and all courts having appellate jurisdiction thereover. Each party hereby irrevocably waives, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in respect of any litigation directly or indirectly arising out of, under or in connection with this Agreement.
Governing Law and Attornment. 22.1 This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada. Each party irrevocably and unconditionally attorns to the exclusive jurisdiction of the Provincial or Federal Courts located in the Province of Ontario for the purpose of any action or proceeding brought by either of them in connection with this Agreement or any alleged breach thereof.
Governing Law and Attornment. This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Xxxxxx hereby attorns to the exclusive jurisdiction of the courts of Toronto, Ontario.
Governing Law and Attornment. This Agreement will be governed by and construed in accordance with the substantive laws of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to the conflict of law rules of British Columbia. The parties irrevocably submit to and accept generally and unconditionally the exclusive jurisdiction of the courts and appellate courts of British Columbia with respect to any legal action or proceeding which may be brought at any time relating in any way to this Agreement. Each of the parties irrevocably waives any objection it may now or in the future have to the venue of any such action or proceeding, and any claim it may now or in the future have that any such action or proceeding has been brought in an inconvenient forum.
