Common use of Governing Law and Disputes Resolution Clause in Contracts

Governing Law and Disputes Resolution. 5.2.1 The conclusion, validity, interpretation, performance, and the dispute resolution of this Agreement shall be governed by the laws of PRC. 5.2.2 Any disputes arising from or relating to this Agreement shall be resolved through consultation in good faith by the Parties. In case of a failure to reach an agreement through such consultation, the Parties agree to submit the disputes to China International Economics and Trade Arbitration Commission for arbitration in accordance with its Arbitration Rules in effect at the time of the arbitration. The arbitration shall be held in Beijing and the language used will be Chinese. The arbitral award shall be final and binding upon the Parties.
