Governing Law and Government Filings. The Company was formed in accordance with and shall be governed by the Delaware Limited Liability Company Act, (as the same may be amended from time to time, the “Act”), except to the extent that the Act permits variation by agreement of the parties and this Agreement provides for such variations. The Member shall execute such documents and take such action as is necessary or appropriate from time to time to comply with the requirements for the formation and operation of a limited liability company in the State of Delaware and in all other jurisdictions where the Company conducts its business.
