Common use of Governing Law and Jurisdictions Clause in Contracts

Governing Law and Jurisdictions. This Employment Agreement shall be governed by, and construed in accordance with, the laws of The Commonwealth of Massachusetts applicable to contracts made and to be performed entirely within The Commonwealth of Massachusetts (without reference to conflict of laws principles). Any action or proceeding arising from or in connection with this Employment Agreement may be brought against the Employee in a court of record of The Commonwealth of Massachusetts, Middlesex County, or in the United States District Court for the District of Massachusetts, the Employee hereby consenting to the jurisdiction thereof over its person; and service of process may be made upon the Employee by mailing a copy of the summons and any complaint to the Employee by registered or certified mall, postage prepaid, return receipt requested, at the address to be used for the giving of notice to the Employee as provided in this Employment Agreement.
