Common use of Governing Law, Jurisdiction and Attorneys’ Fees Clause in Contracts

Governing Law, Jurisdiction and Attorneys’ Fees. This Agreement shall be construed and enforced in accordance with the laws of the State of Washington, without giving effect to its choice of law provisions. Executive agrees that the exclusive jurisdiction and venue for any dispute arising out of this Agreement shall be the state courts located in Xxxxx County and/or King County, Washington or the federal district court for the Western District of Washington in Seattle, and Executive further consents to the jurisdiction of such courts; provided that Company may seek injunctive relief in another venue when Company believes such relief may not be effective unless obtained in such other venue. In any action to enforce this Agreement, including, as applicable, gaining injunctive relief, the prevailing party shall be entitled to recover, in addition to all other relief, its reasonable attorneys’ fees, costs and expenses incurred in such enforcement action.
