Employment, Services and Duties. 1.1 Employer hereby employs Employee and Employee hereby accepts such employment full-time (subject to those exceptions, if any, set forth below) as Chief Executive Officer of Employer to perform the duties and functions generally required by such a position to insure and work for the profitability of Employer and its affiliates and subsidiaries , to perform such other duties or functions as are reasonably required or as may be prescribed from time to time or as otherwise agreed. Employee shall render his services by and subject to the instructions and under the direction of the Board of Directors of Employer to whom Employee shall directly report.
1.2 Employee acknowledges and agrees that Employee may be required by Employer to devote a portion of his working time to perform functions for Employer’s affiliates or related entities and that such services are to be performed pursuant to and consistent with Employee’s duties and obligations under this Agreement.
1.3 Employee will at all times faithfully, industriously and to the best of his ability, experience and talents perform all of the duties required of and from him pursuant to the terms of this Agreement. Employee will devote his full business energies and abilities and all of his business time to the performance of his duties hereunder and will not, without Employer’s prior written consent, render to others any service of any kind (whether or not for compensation) that would interfere with the full performance of Employee’s duties hereunder, and in no event will engage in any activities that compete with the Business or that could create a reasonably foreseeable conflict of interest or the appearance of a reasonably foreseeable conflict of interest; provided that nothing contained in this Section 1.3 shall preclude Employee from engaging in or managing Employee’s outside investments.

The Company hereby employs Employee as Treasurer, or such title designation as the Company, acting through the Company's Chief Executive Officer (the "CEO") may from time to time direct. Employee shall report to and be supervised by the CEO or such other person as the CEO may designate (the "Supervisor") and shall have such duties and responsibilities as the Supervisor may designate.

The Company hereby employs Employee as Senior Vice President - Plan Operations, or such title designation as the Company, acting through the Company's Chief Executive Officer (the "CEO") may from time to time direct. Employee shall report to and be supervised by the CEO or such other person as the CEO may designate (the "Supervisor") and shall have such duties and responsibilities as the Supervisor may designate.
Employment, Services and Duties. The Company agrees to employ and retain the services of Mikox xx its President and Chief Executive Officer, and Mikox xxxeby agrees to be employed by the Company as its President and Chief Executive Officer. Mikox'x xxxies and obligations as President and Chief Executive Officer shall be: (i) to implement the policies determined by the Board of Directors of the Company; (ii) to generally manage the day-to-day business of the Company; and (iii) to prepare the Company for public offerings of its stock. Mikox xxxees to perform his duties faithfully, to the best of his ability and in the best interests of the Company, to preserve and protect the confidential information of the Company, and to perform both his regular duties and strategic projects as requested by the Board of Directors. As President and Chief Executive Officer, Mikox xxxll report directly to the Company's Board of Directors.

Employer hereby employs Employee and Employee hereby agrees to perform the services of President, Chief Executive Officer and director through December 31, 1996 and from December 31, 1996 through the term of this agreement, the services of Chairman and Chief Executive Officer, with the duties consistent therewith. Employee agrees to devote substantially of all working hours to rendering the services for which Employee has been hired. Employee shall render his services to Employer by and subject to the instructions and directions of Employer's Board of Directors to whom Employee shall directly report.
Employment, Services and Duties. Effective December 4, 2004, the Company agrees to employ and retain the services of MxXxxxxxx as Vice Chairman of the Board of Directors of Remedy (the “Board”), and MxXxxxxxx hereby agrees to continue employment with the Company as its Vice Chairman, for the term of this Agreement. While employed as Vice Chairman of the Board, MxXxxxxxx shall be an officer of Remedy and shall be entitled, subject to the provisions of this Agreement, to all rights and privileges attendant to such position with the Company. MxXxxxxxx agrees to perform his duties as Vice Chairman of the Board faithfully, to the best of his ability and in the best interests of the Company, and to preserve and protect the confidential information of the Company, and to perform his duties as directed by Remedy’s Chief Executive Officer and the Board.”

Employee agrees to devote substantially all of his working hours to rendering the services for which Employee has been hired, recognizing that until the merger between Employer and C-2000, Inc., is completed, Employee will also devote a portion of his time in the service of C-2000, Inc. Employee shall render his services to Employer by and subject to the instructions and directions of Employer's Chief Executive Officer to whom Employee shall directly report.

Employee agrees to devote substantially all of his working hours to rendering the services for which Employee has been hired, recognizing that until the merger between Employer and C-2000, Inc., is completed, Employee will also devote a portion of his time in the service of C-2000, Inc. Employee shall render his services to Employer by and subject to the instructions and directions of Employer's Chief Executive Officer to whom Employee shall directly report.
Employment, Services and Duties. SafeGuard agrees to employ and retain the full-time services of Employee and Employee hereby agrees to accept full-time employment with SafeGuard as President of SafeGuard Florida under the terms of this Agreement. Employee will also serve as a Director of SafeGuard Florida. Employee agrees to faithfully perform his duties as President and a Director of SafeGuard Florida, to the best of his ability and in the best interests of SafeGuard Florida. Employee's duties and responsibilities shall be commensurate with those customarily associated with the other vice presidents of SafeGuard responsible for its other target markets.

Employee shall report to and be supervised by the CEO or such other person as the CEO may designate (the "Supervisor") and shall have such duties and responsibilities as the Supervisor may designate.
