Common use of Governing Law; No Third Party Rights Clause in Contracts

Governing Law; No Third Party Rights. This Agreement is to be governed by and construed and interpreted in accordance with the internal Laws of the State of Illinois applicable to contracts made and to be performed wholly within such state, without regard to choice or conflicts of law principles; except that the provisions of this Agreement pertaining to the creation or perfection of a security interest in or the enforcement of rights in the Collateral which is located in a state other than the State of Illinois shall governed by the by the laws of such other state. This Agreement is solely for the benefit of the parties hereto and the Lenders and their respective successors and assigns pursuant to the terms of the Loan Agreement, and no other person has any right, benefit, priority or interest under, or because of the existence of, this Agreement.
