Governing Law; Submission to Jurisdiction; Venue. (a) This Agreement and the other Credit Documents and the rights and obligation of the parties hereunder and thereunder shall be construed in accordance with and be governed by the law of the State of New York, without regard to principles of conflicts of laws. Any legal action or proceeding against the Borrower with respect to this Agreement or any other Credit Document may be brought in the courts of the State of New Jersey located in Camden County or in the United States Federal courts located in Camden County, and, by execution and delivery of this Agreement, the Borrower hereby irrevocably accepts for itself and in respect of its property, Generally and unconditionally, the jurisdiction of the aforesaid courts. (b) The Borrower hereby irrevocably waives any objection which it may now or hereafter have to the laying of venue of any of the aforesaid actions or proceedings arising out of or in connection with this Agreement or any other Credit Document brought in the courts referred to in clause (a) above and hereby further irrevocably waives and agrees not to plead or claim in any,such court that any such action or proceeding brought in any such court has been brought in an inconvenient forum.

(b) The Borrower and Lender hereby irrevocably waives waive any objection which it may now or hereafter have to the laying of venue of any of the aforesaid actions or proceedings arising out of or in connection with this Agreement or any other Credit Loan Document brought in the courts referred to in clause (a) above and hereby further irrevocably waives and agrees not to plead or claim in any,any such court that any such action or proceeding brought in any such court has been brought in an inconvenient forum.

Any legal action or proceeding against the Borrower with respect to this Security Agreement or any other Credit Document may be brought in the courts of the State of New Jersey located in Camden County state or in the United States Federal federal courts located in Camden CountyNashville, Tennessee or Charlotte, North Carolina, and, by execution and delivery of this Security Agreement, the Borrower each Grantor hereby irrevocably accepts for itself and in respect of its property, Generally generally and unconditionally, the jurisdiction of such courts. Nothing herein shall affect the aforesaid courtsright of the Collateral Agent to commence legal proceedings or to otherwise proceed against any Grantor in any other jurisdiction.
