Common use of Governmental and Other Third Party Consents Clause in Contracts

Governmental and Other Third Party Consents. Except for the Consent of the Senior Lender and the Consents listed in Schedule 3.6 and those that have already been obtained or made, no Consent of any Governmental Authority or other Person is or will be required in connection with the execution, delivery and performance of this Agreement, the Note, the Collateral Documents or any other Investment Document or to ensure the legality, validity or enforceability hereof or thereof or for the purpose of maintaining in full force and effect any Licenses and Permits. Each Consent which has been obtained or made in connection with the execution, delivery and performance of this Agreement or any other Investment Document is in full force and effect. The time within which any administrative or judicial appeal, reconsideration, rehearing or other review of any such Consent may be taken or instituted has lapsed, and no such appeal, reconsideration or rehearing or other review has been taken or instituted.

Each Consent of the Consents which has have been obtained or made in connection with the execution, delivery and performance of this Agreement or any other Investment Document is in full force and effect. Each Consent which has been obtained or made in connection with the execution, delivery and performance of this Agreement or any other Investment Loan Document is in full force and effect. The time within which any administrative or judicial appeal, reconsideration, rehearing or other review of any such Consent may be taken or instituted has lapsed, and no such appeal, reconsideration or rehearing or other review has been taken or instituted.
